Facilitator Terms & Agreement

This document is intended for Kidz Klub Adventures™ Facilitators and prospective Facilitators. It explains the terms governing authorized commercial participation and the important distinction between personal-use resources and commercial-use licensing.
PART I — FACILITATOR TERMS & AGREEMENT
1. Acceptance of Agreement
By purchasing, enrolling in, accessing, or using Facilitator membership, Facilitator portals, commercial-use materials, or licensed Kidz Klub Adventures™ resources, the Facilitator agrees to these terms and incorporated policies.
Electronic acceptance or continued use after receiving these terms may constitute acceptance to the extent permitted by applicable law.
2. Independent Facilitator Status
Facilitators operate independently and are not employees, agents, partners, or legal representatives of Kidz Klub Adventures™.
Facilitators may not bind Kidz Klub Adventures™, enter agreements on its behalf, or make unauthorized promises or representations for the brand.
3. Facilitator License
An active authorized Facilitator receives a limited, revocable, non-exclusive, non-transferable commercial-use license to use approved Kidz Klub Adventures™ materials for authorized Kidz Klub Adventures™ experiences.
Kidz Klub Adventures™ materials are licensed, not sold. Ownership of curriculum, scripts, artwork, layouts, prompts, worksheets, mission systems, adventure structures, characters, logos, branding, and proprietary resources remains with Kidz Klub Adventures™ or the applicable rights holder.
Commercial-use rights exist only while the applicable Facilitator license or membership remains active and in good standing.
4. Authorized Commercial Use
Only active authorized Facilitators may advertise, market, conduct paid Kidz Klub Adventures™ experiences, or represent themselves as Kidz Klub Adventures™ Facilitators.
Commercial rights end upon expiration, cancellation where applicable, termination for cause, or other loss of the active commercial license.
Former Facilitators must stop representing themselves as active Facilitators and discontinue unauthorized use of protected branding.
5. Brand & Business Naming Requirements
Facilitators must follow current approved Kidz Klub Adventures™ brand standards and use authorized logos, characters, terminology, and marketing materials.
Approved naming formats include “Kidz Klub Adventures™ by [First Name],” “Kidz Klub Adventures™ by [Business Name],” or “Kidz Klub Adventures™ by [Organization Name],” subject to approval.
Facilitators may not create confusingly similar brand names, replace the official brand identity, or materially alter protected brand assets without written authorization.
6. Intellectual Property, Confidentiality & Non-Sharing
Facilitator materials may not be resold, redistributed, sublicensed, publicly uploaded, posted, transferred, or shared with unauthorized persons.
Member-only scripts, prompts, business resources, training materials, and proprietary documents may be used only for authorized purposes.
Nothing in these terms transfers ownership of Kidz Klub Adventures™ copyrights, trademarks, proprietary systems, or other intellectual property.
7. Account Security
Facilitator accounts, portal credentials, member-only downloads, and access are for the authorized account holder and may not be shared.
Suspected unauthorized access should be reported promptly.
8. Business, Tax, Permit & Insurance Responsibilities
Facilitators are independently responsible for determining and satisfying applicable business registration, tax, licensing, permit, insurance, venue, zoning, and regulatory requirements.
Facilitators are responsible for their own taxes, fees, and business expenses. Kidz Klub Adventures™ does not provide individualized legal, tax, accounting, or insurance advice.
9. Child Safety & Professional Conduct
Facilitators must maintain appropriate adult supervision and a safe, respectful, positive, and child-appropriate environment.
Facilitators are responsible for determining and following applicable child-safety, screening, background-check, mandated-reporter, venue, and other requirements.
Activities and materials must be evaluated for age appropriateness and hazards such as choking risks, allergies, sensory materials, food, physical movement, tools, and venue conditions.
10. Educational & Business Results Disclaimer
Kidz Klub Adventures™ is an educational and enrichment program and does not guarantee specific academic, developmental, behavioral, kindergarten-readiness, customer, booking, revenue, or profit outcomes.
Facilitators remain responsible for their independent business decisions and operations.
11. Media & Photo Permissions
Facilitators must obtain all legally required permissions before submitting identifiable child or participant photos, videos, recordings, testimonials, or other media.
Submitted media may be used only to the extent authorized by the applicable release, submission terms, or permission.
12. Membership, Cancellation & Refunds
Recurring Facilitator membership may be cancelled according to the cancellation method and timing stated for the applicable membership.
Processed fees are generally non-refundable and non-transferable, and partial-month or prorated refunds are not ordinarily provided, except where required by law or expressly promised.
Verified technical access problems will be addressed through reasonable efforts to restore access or provide a workable solution.
13. Suspension & Termination
Kidz Klub Adventures™ may suspend or terminate Facilitator rights for material violations, intellectual-property misuse, unauthorized sharing, brand misuse, fraud, unlawful conduct, serious safety concerns, or other serious policy violations.
Termination for cause may result in immediate loss of portal access, future materials, updates, branding permission, and commercial-use rights.
14. Third-Party Platforms
Kidz Klub Adventures™ may use third-party services for community access, payments, email, websites, design, or file hosting. Those providers control their own availability, security, features, and policies.
Facilitators must comply with applicable third-party terms when using those services.
15. Liability & Independent Operations
Facilitators are responsible for the supervision, setup, delivery, staffing, venue, materials, and safety practices of independently operated sessions.
To the extent permitted by law, Kidz Klub Adventures™ is not responsible for injuries, accidents, losses, property damage, or misuse arising from a Facilitator’s independent acts, omissions, venue conditions, or failure to follow instructions.
Nothing in these terms excludes liability that cannot legally be excluded.
16. Updates, Severability & Entire Agreement
Kidz Klub Adventures™ may reasonably update these terms or incorporated policies as operations, technology, or legal requirements change, with notice of material changes as appropriate.
If one provision is invalid or unenforceable, the remaining provisions continue to the fullest extent permitted by law.
These terms, incorporated policies, and any specific written Facilitator offer or license terms constitute the applicable agreement on the subjects they cover.
